DokDesk Terms of Service
These Terms of Service govern your access to and use of DokDesk, a secure contract workflow for the Baltics and the European Union. DokDesk lets you build reusable templates, turn them into contracts with full version history, negotiate on one live version, sign at the eIDAS SES, AES, or (architecture-ready) QES level using EU national eIDs, and keep a court-ready evidence record of every signature. By creating an account, accessing the service, or signing a document through a secure link, you agree to these terms. DokDesk is in early access and pre-launch. 1. Pre-Launch Status, No Legal Advice, and Review by Counsel
This document is a pre-launch draft. It is a generic, templated Terms of Service prepared for an early-access product and has not yet been finalised for production use. It does not name a registered company number, a postal address, or specific third parties, and it omits the commercial details (such as pricing or a defined service term) that a final agreement would include. Those details will be added before general availability.
DokDesk is a software product, not a law firm, and nothing in this document or in the service is legal advice. The templates, clauses, and contracts you create with DokDesk are yours to draft and review. You are responsible for the legal effect of what you sign and for deciding whether a given signature level (SES, AES, or QES) is appropriate for your use case under applicable law.
Before you rely on these terms, or on any contract produced with DokDesk, have them reviewed by qualified counsel in your jurisdiction. If you have questions about this draft during early access, contact us through the channel provided to you, and treat any guidance you receive as informational only, not as a legal opinion.
2. The Service
DokDesk is a secure contract workflow. The core building blocks are reusable templates that hold dynamic data fields and clauses; contracts, which are the central entity and carry status, versions, and a full change history; negotiation, which happens on one live version so everyone works from the same text; electronic signing at the eIDAS SES, AES, or QES level using EU national eIDs through a no-account secure link; and an evidence record captured on every signature describing who signed, when, how, and with which identity.
DokDesk is a contract workflow and nothing more. It is not invoicing, payment processing, accounting, or a customer relationship management system, and it should not be relied on as any of those. We may add, change, or remove features during early access as the product develops.
Qualified electronic signature (QES) support is architecture-ready. The service is designed so that Smart-ID, Mobile-ID, and qualified trust service providers can plug in, but availability of any specific signing method or identity provider depends on integration status and may change. We do not promise that any particular method or provider is, or will be, available to you at a given time.
3. Accounts, Eligibility, and Acceptable Use
To use the workspace features of DokDesk you need an account. You agree to provide accurate information, to keep your credentials secure, and to be responsible for activity that happens under your account. Signers do not need an account: they can review and sign a document through a single-use secure link, and they are bound by these terms when they do so.
You must be legally able to enter into binding agreements and to use an electronic signature in your jurisdiction. You are responsible for confirming that the people you invite to sign have the authority to do so on behalf of themselves or their organisation.
You agree not to misuse the service. This includes not using it for unlawful purposes, not uploading content you have no right to use, not attempting to break or bypass our security, not impersonating another person or identity when signing, and not interfering with other users' access. We may suspend or limit access if we reasonably believe these rules are being broken, especially during early access where stability is a priority.
4. Your Content and Electronic Signatures
You own the templates, contracts, and other content you create or upload. You grant DokDesk the limited rights needed to host, process, display, version, and deliver that content so the service can work, including generating the evidence record for each signature. We do not claim ownership of your contracts.
Electronic signatures created through DokDesk are intended to be made at the eIDAS level you select for a given document. The legal weight of a signature depends on the level used, the identity method, and the law that applies to your agreement. You are responsible for choosing an appropriate level and for any decision to treat a signed document as binding.
For each signature, DokDesk records evidence describing who signed, when, by what method, and with which identity. This evidence is intended to help support the integrity of a signed document. It is provided as part of the service record; we do not guarantee any particular outcome in a dispute or court proceeding, and you should seek your own advice on what evidence your situation requires.
5. Data Protection and EU Data Residency
DokDesk is built for the Baltics and the EU, and your data is stored within the EU. We process personal data in line with the EU General Data Protection Regulation (GDPR). Where DokDesk processes personal data on your behalf, we act as a processor and you act as the controller, and a separate data processing agreement will govern that relationship before general availability.
We use third-party sub-processors (for example, infrastructure and identity or signing services) to deliver the service. This draft does not name specific sub-processors; a current list will be made available in the final documentation, and we will use sub-processors that handle data consistently with GDPR and, where relevant, eIDAS.
We apply technical and organisational measures intended to protect your data. No system can be guaranteed to be completely secure, and you are responsible for keeping your own credentials and signing access safe. If you have questions about how your data is handled, contact us, and refer to our separate privacy notice once it is published.
6. Availability, Warranties, and Liability
DokDesk is in early access and is provided on an "as is" and "as available" basis. We do not promise that the service will be uninterrupted, error-free, or fit for a particular purpose during this period, and we may change or pause features as we develop the product. You should not rely on early-access functionality for anything you cannot tolerate being unavailable or changed.
To the maximum extent permitted by applicable law, and without limiting any rights you have as a consumer under EU or local law, DokDesk's liability arising from your use of the service is limited. We are not responsible for indirect or consequential losses, or for the legal consequences of the contracts you choose to create, negotiate, or sign. Nothing in this section limits liability that cannot be limited by law.
You are responsible for keeping your own copies of important contracts and evidence records. While DokDesk stores your contracts and their history as part of the service, you should not treat it as your only record of a legally significant agreement, particularly during pre-launch.
7. Changes, Termination, and Governing Law
We may update these terms and the service from time to time, especially as DokDesk moves out of early access. When we make a material change, we will take reasonable steps to let you know. Continuing to use the service after a change means you accept the updated terms.
You may stop using DokDesk at any time. We may suspend or end your access if you breach these terms, if required by law, or if we discontinue the service or a feature. Where practical, we will give you a reasonable way to retrieve your contracts and evidence records before access ends.
These terms are intended to be governed by the law of an EU member state, to be specified in the final version, with EU and GDPR rules applying as relevant. This is a generic draft; the governing law, jurisdiction, the contracting DokDesk entity, and its registration and contact details will be completed and reviewed by qualified counsel before launch.
